Regulation Overview
On 3 January 2018, the revised Markets in Financial Instruments Directive (MiFID) and Markets in Financial Instruments Regulation (MiFIR), together "MiFID II", came into force. MiFID II covers investment firms operating in the European Economic Area ('the EEA') and addresses a number of weaknesses identified during the financial crisis. It introduces greater protection for investors and seeks to make financial markets in Europe more resilient, transparent and investor-friendly.
MiFID II introduces a product governance regime where the regulation takes a fresh look at how products are governed from the product development stage through the life of the financial instrument, emphasizing two regulatory concepts:
· Manufacturers – i.e. investment firms that create, develop, issue and / or design financial instruments.
· Distributors – i.e. investment firms who offer and/or recommend investment products and services to investors.
The objective of the regime is consumer protection – namely, to ensure that firms, which manufacture and distribute financial instruments, act in the best interests of clients during all stages of the product life cycle.
· Firms must have a process for approving products based upon the identified needs of a specified target audience (the “Target Market”);
· Manufacturers of products must provide distributors with sufficient information, including the manufacturer’s view of the Target Market, to enable the distributor to carry out its role of successfully distributing the product, in addition to relevant MiFID suitability and appropriateness criteria.

As a Manufacturer, Barclays must communicate the intended Target Market, Product related high-level information on the approval process and Distribution Strategy to the Product Distributor.

Financial instruments are first approved at a business level committee/forum (including independent functions such as Legal, Compliance and Audit where appropriate).

We do not have direct client contact and in accordance with Article 9(9) MiFID II Delegated Directive, this means that our target market identification is based on our theoretical knowledge and past experience of the product and may not be suitable to all investors within our theoretical target market.

Barclays Distributor Target Market
For the purposes of Barclays’ Product Governance requirements under MiFID II, as a distributor of Financial Instruments which are manufactured by Barclays or by a third party, we have an obligation to identify a target market for the Financial Instruments we distribute. Barclays distributes Financial Instruments to its immediate counterparties on the basis that such immediate counterparties fall within the target markets that Barclays has specified for the relevant Financial Instrument. In addition, when Barclays is acting as a market maker or distributor in wholesale markets it will treat its immediate counterparty as the end client. To the extent you as Barclays’ immediate counterparty are not the end client in the chain of distribution of a particular Financial Instrument, you must define your own target market for the relevant Financial Instrument, taking account of the specific knowledge which you possess of your own client base. Where we formally recognise you as a Distributor of our manufactured products, in order to fulfil our own Product Governance obligations, we may periodically request that you provide us with information relating to onward sales of Financial Instruments bought by you from us and whether such sales were made outside the relevant manufacturer’s specified target market.
